1. Definitions
- "Client" – Any business client engaging SeamX services.
- "Products" – Apparel items (including blanks and customised garments) supplied by SeamX.
- "Customisation" – Design, printing, or finishing services performed by SeamX.
- "Order" – A confirmed request for Products or Services, agreed in writing.
2. Account Registration
Customers must provide accurate company and contact information. You are responsible for maintaining the confidentiality of your account details and any activity under your account. SeamX will suspend or terminate accounts used fraudulently or in breach of these Terms.
3. Product Information
Product specifications may vary due to manufacturing processes. Colour, fabric, or finish variations are considered acceptable within industry tolerances. Customisation files must comply with SeamX's format and quality requirements. Sustainability claims are based on certified sources.
4. Ordering & Payment
- Orders are binding only once confirmed in writing by SeamX.
- Prices are quoted in GBP (exclusive of VAT unless stated). USD pricing available on request.
- Unless agreed otherwise, a 50% deposit is required to initiate production. Balance is due upon sample approval or before shipment.
- Late payments accrue 2% monthly interest on overdue balances. SeamX will suspend production/delivery until settled.
5. Intellectual Property
- SeamX retains ownership of all intellectual property in its brand, website, and materials.
- Clients retain ownership of submitted designs but grant SeamX a non-exclusive licence to use them for production.
- SeamX may showcase completed work in its portfolio unless the Customer objects in writing.
- Clients are solely responsible for ensuring their designs do not infringe third-party rights.
6. Shipping & Delivery
- SeamX ships via trusted carriers (DHL, FedEx, UPS, etc.). Timelines are estimates only.
- Risk and title pass to the Customer upon delivery to the carrier.
- SeamX are responsible for customs duties, import taxes, and compliance with local regulations.
7. Returns, Refunds & Exchanges
- Bulk Orders are final and non-refundable except in cases of proven defect.
- Defects must be reported within 7 business days of delivery.
- Approved returns must be unused, in original packaging, and returned at Customer's expense.
- Refunds/credits are issued within 14 business days after inspection.
8. Confidentiality
Both parties must keep proprietary and sensitive business information confidential and not share it with third parties without written consent, except where legally required.
9. Force Majeure
SeamX shall not be liable for failure or delay in performance due to circumstances beyond reasonable control, including but not limited to natural disasters, strikes, labor disputes, material shortages, acts of government, transportation delays, pandemics, or war. In such cases, delivery timelines will be extended, or obligations suspended without liability.
10. Compliance & Export Controls
Customers must comply with all applicable export control laws and regulations, including restrictions on sourcing, sanctions, and product use. SeamX reserves the right to decline or cancel any Order in breach of UK or international trade compliance laws.
11. Liability & Disclaimers
- SeamX's liability is limited to the value of the relevant Order.
- SeamX accepts no liability for indirect, incidental, or consequential damages (including loss of profit or business opportunities) unless caused by wilful misconduct or gross negligence.
- Products are provided "as is" in accordance with stated specifications.
12. Termination
- SeamX may suspend or terminate Orders/accounts for material breaches of these Terms, including non-payment.
- Customers may terminate accounts upon written notice, subject to settlement of outstanding obligations.
13. Dispute Resolution
Parties will first attempt to resolve disputes amicably. If unresolved, disputes will be referred to mediation or arbitration in London, UK, before court proceedings. This does not prevent either party from seeking urgent injunctive relief.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Data Privacy
SeamX complies with GDPR and all applicable data protection laws. Data is collected and processed in line with SeamX's Privacy Policy. Information may be shared with trusted partners solely for operational purposes (e.g., shipping, production).
